Acquisition Strategy/Buyside Advisory
Work to develop and execute an acquisition strategy for the business.
Identify and develop lead generation, manage acquisition process, negotiate transaction and assist in integration. Cadence can work as an outsourced
business development officer or as an outside consultant to an existing
business development team as appropriate and is not driven by the need
to close a specific transaction.

Grooming for Sale
Work to identify and implement changes to the existing business model with
a view towards preparing the company for sale when appropriate. The ability
to avoid “add-backs” to the financials and minimize the number of “investment opportunities” prior to meeting with investors or new owners can have a dramatic positive impact on the ultimate value received for the business. Cadence will also work with management and shareholders to determine the optimal time to begin
a formal sales process.

Debt/Growth Capital Advisory Services
In the current financing environment, many companies have challenges
in finding additional liquidity and may also be in a difficult position with
their existing capital sources. Cadence can work with the Company and
its bank to restructure the terms of existing loans and capital structure and,
when appropriate, assist in raising additional capital with new financing sources.

CFO/Finance
Assist finance staff in developing financial models, projections and
detailed financial analyses used to evaluate lines of business and track profitability across the business.

Investment Banking Advisory
When appropriate, Cadence will assist in selecting an investment banker. Extensive relationships across the spectrum of investment banking firms
will insure that clients have the best group of banks from which to choose
to partner. Once the investment bank is selected, Cadence will stay involved
to assist management and act as an intermediary between the investment bank
and the executive team, which will benefit both parties in speed and execution.
In certain cases, Cadence will be able to drive the sales process without the
use of an investment banking firm.

Outside Board Advisory Services
In many cases, middle market business owners have not developed or established an outside board of directors. This is often helpful in getting an outside perspective on the business in addition to generating ideas on how to grow the business. Cadence can serve on the board and also assist in selecting other outside advisory members.
